1. Acceptance of Terms

By accessing or using the Techphin Labs website and our custom software development services, you agree to comply with and be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our website or services.

2. Definitions

• "Company", "We", "Our", "Us" refers to Techphin Labs Private Limited.
• "Client", "You", "Your" refers to the individual or business entity accessing our website or purchasing our services.
• "Services" refers to the custom software development, mobile app development, UI/UX design, AI solutions, and ERP implementations provided by Techphin Labs.

3. Services & Project Execution

Techphin Labs provides custom digital engineering solutions. The specific scope, timeline, and deliverables for any project will be outlined in a separate, mutually agreed-upon Statement of Work (SOW) or Master Services Agreement (MSA). These terms govern the general relationship unless specifically overridden by an MSA.

4. Intellectual Property Rights

Unless otherwise stated in a project-specific agreement, Techphin Labs retains all rights to pre-existing code, frameworks, and tools used during development. Upon full payment of all invoices, the Client will receive intellectual property rights to the custom code written specifically for their project.

You may not republish, sell, rent, sub-license, or reproduce material from our website without prior written consent.

5. Payment Terms

Payment schedules are defined in your specific project contract. Generally, we require an upfront deposit before commencing work. All invoices must be paid within 15 days of the invoice date. Late payments may result in the suspension of services.

6. Confidentiality (NDA)

Techphin Labs respects your proprietary information. We agree to keep all client business models, ideas, and data strictly confidential. We are happy to sign a Non-Disclosure Agreement (NDA) prior to discussing specific project details.

7. Limitation of Liability

In no event shall Techphin Labs, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

8. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Gujarat, India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ahmedabad, Gujarat, India.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
